Course content

The course addresses the various aspects of companies law that the public notary may have to cover: articles of incorporation (requirements and main clauses); main modifications of the articles of association (increase and decrease of the capital, modification of the object, modification of the respective rights of the different categories of shares); conversion; mergers; liquidation and winding-up. Special attention shall be given to the transitory provisions of the Law of 23 March 2019 introducing the Code of Companies and Associations.

Objectives (and/or specific learning outcomes)

The course aims to provide the students with the necessary tools for drafting notarial deeds for companies and for identifying the needs of the client, asking the relevant questions and taking into account all relevant aspects in view of ensuring the conformity of these deeds with the legal rules and the objectives which are pursued by the client (expressed or not).

Teaching methods and learning activities

The course will consist of interactive seminars. Each class meeting will have a duration of two hours and will be composed of questions and answers and of discussions on the basis of the exercises and deeds reproduced in the textbook and, as the case may be, other exercises and deeds provided in the course of the year. Students will be requested to read the materials in the textbook and to do additional researches in preparation of each class, in accordance with a schedule published in the textbook.

The students are requested to bring the Code of companies and associations to the classes.

The students who shall participate actively in the class meetings shall obtain a mark reflecting their participation.

Marks equal or superior to 12/20 shall exempt from a part of the material (which shall be specified later on) and shall be taken into account for a fraction (which shall be specified later on) of the final mark. Marks below 12/20 shall not exempt from any part of the material and shall not be taken into account into the final mark. Students may waive their mark equal or superior to 12/20 by an e-mail addressed to Professor Simonart (valerie.simonart@ulb.be) at the latest on December 31 of the current year.

Mark calculation method (including weighting of intermediary marks)

The final mark will be on 20.
